Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AdPilot platform and related services (the "Service") operated by AdPilot ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
AdPilot is an AI-powered Amazon advertising management platform that provides:
- AI Bid Optimization: Automated analysis and optimization of keyword bids based on multi-dimensional performance data, campaign strategy, and risk controls.
- Search Term Mining: Automated discovery of high-converting search terms for harvesting and irrelevant terms for negation.
- Keyword Memory: Long-term tracking of keyword lifecycle stages (Paradise, Nursery, Graveyard).
- Bid Change Impact Tracking: Post-adjustment performance monitoring with D+1, D+3, D+7, and D+14 assessments.
- Approval Queue: Human-in-the-loop review for high-risk AI actions.
- Cost Model: Product cost and profit calculation for break-even ACOS analysis.
- Reporting: Daily AI briefs, weekly reviews, campaign reviews, and custom reports.
- Budget Center: Budget consumption monitoring and AI-generated budget adjustment suggestions.
The Service connects to your Amazon Ads account via the Amazon Advertising API and processes your advertising data to provide these features.
3. Account Registration and Security
3.1 Account Creation
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Update your information to keep it accurate and current.
- Maintain the security of your account credentials.
- Notify us immediately of any unauthorized use of your account.
3.2 Account Responsibilities
You are responsible for all activities that occur under your account. AdPilot will not be liable for any loss or damage arising from your failure to maintain the security of your account.
3.3 Team Members
Account administrators may invite team members and assign roles (Admin or Member) with specific permission codes. Administrators are responsible for managing team member access and permissions.
4. Amazon Ads Account Connection
4.1 Authorization
You authorize AdPilot to access your Amazon Ads account through the Amazon Advertising API using OAuth 2.0. This authorization allows us to:
- Read campaign, ad group, keyword, and search term data.
- Read advertising performance metrics and reports.
- Modify keyword bids for Sponsored Products campaigns (when AI托管 is enabled).
- Read product catalog information (when available).
4.2 Scope of Write Operations
AdPilot's write operations are limited to Sponsored Products keyword bid modifications only. We do not:
- Create, modify, or delete campaigns, ad groups, or ads.
- Modify budgets (budget suggestions are provided but not auto-executed in the current version).
- Access or modify your Amazon Seller Central account beyond the scope of the Amazon Advertising API.
4.3 Token Management
You may revoke AdPilot's access to your Amazon Ads account at any time through your Amazon Ads account settings or through the AdPilot Settings page. Revoking access will disable all AI托管 features and data synchronization.
4.4 Token Expiration and Re-authorization
Amazon OAuth tokens may expire or be revoked by Amazon. When this occurs:
- AdPilot will display a warning banner at the top of the dashboard prompting you to re-authorize.
- AI托管 features will be suspended for campaigns whose Amazon connection is inactive until re-authorization is completed.
- No AI actions will be executed while the token is expired.
- Historical data previously synced remains accessible in read-only mode.
You are responsible for maintaining an active Amazon Ads authorization. AdPilot is not liable for any loss of optimization opportunity resulting from token expiration.
4.5 Disconnecting Your Account
Before disconnecting your Amazon Ads account, you must:
- Disable AI托管 for all managed campaigns.
- Review and resolve any pending approval tasks.
- Acknowledge that disconnecting will stop all data synchronization and AI operations.
AdPilot will not execute any write operations on your Amazon Ads account after disconnection. Previously executed bid changes will remain in effect on Amazon unless you manually revert them.
4.6 Amazon API Dependencies
The Service depends on the availability and accuracy of the Amazon Advertising API. You acknowledge that:
- AdPilot has no control over Amazon API uptime, rate limits, data freshness, or data accuracy.
- Data synchronization may be delayed due to Amazon API rate limiting or maintenance windows.
- AI decisions are only as current as the most recently synced data. AdPilot will indicate data freshness and warn when data may be stale.
- Changes to the Amazon Advertising API may require AdPilot to modify or temporarily suspend certain features. We will make reasonable efforts to provide advance notice.
5. AI-Driven Operations
5.1 Execution Modes
AdPilot offers three execution modes for AI-driven bid operations:

| Semi-Automatic | Low-risk actions are executed automatically; high-risk actions require your approval. |
| Full-Automatic | Risk-validated actions are executed automatically; critical-risk actions still require approval. |
You choose the execution mode for each campaign. You may change the mode at any time.
5.1.1 Full-Automatic Confirmation
Before enabling Full-Automatic mode, you must explicitly confirm that you understand:
- AI will automatically execute bid changes that pass risk validation without requiring your approval for each action.
- High-risk and critical-risk actions will still require your approval.
- You may switch back to Semi-Automatic or Recommendation Only mode at any time.
- AdPilot will not be liable for advertising outcomes resulting from actions executed in Full-Automatic mode.
5.1.2 Dry-Run Mode
When Dry-Run mode is enabled for a campaign:
- AI generates complete recommendations without executing any write operations on your Amazon Ads account.
- All recommendations and their expected impacts are logged and visible in the AI Operation Log.
- You may manually approve individual recommendations for execution.
- No bid changes, keyword pauses, or negative keyword additions will be made automatically.
- Dry-Run mode is the recommended starting mode for new users and newly managed campaigns.
5.2 Risk Controls
AdPilot enforces hard safety guardrails that cannot be bypassed:

5.2.1 Guardrail Modifications
These guardrails represent system-level hard limits that the AI cannot bypass regardless of execution mode or user configuration. Campaign-level risk preferences (conservative, balanced, aggressive) operate within these hard limits but may further restrict AI behavior.
AdPilot may adjust guardrail values from time to time to improve safety or performance. When guardrail values are modified:
- We will notify you via email and in-app notification at least 7 days before the change takes effect.
- Changes that tighten limits (e.g., reducing the maximum bid increase) will not affect previously scheduled AI runs until the effective date.
- Changes that loosen limits (e.g., increasing the maximum actions per run) will only take effect after you acknowledge the change.
5.2.2 Guardrail Disclaimer
The guardrails are designed to reduce risk but do not eliminate it. You acknowledge that:
- Guardrails limit the magnitude and frequency of individual actions but cannot prevent all adverse outcomes.
- Cumulative effects of multiple small actions within guardrail limits may still result in significant changes over time.
- AdPilot is not liable for financial losses resulting from AI actions that were within guardrail limits.
- The guardrails do not constitute a guarantee of advertising performance or profitability.
5.3 Disclaimer on AI Decisions
While AdPilot's AI uses multi-dimensional analysis, statistical tools, and risk controls, AI-generated recommendations and actions are not guaranteed to improve advertising performance. Advertising outcomes depend on many factors beyond AdPilot's control, including market conditions, competition, product quality, pricing, and Amazon's algorithms.
You acknowledge that:
- AI decisions are based on historical data and statistical models, which may not predict future performance.
- AdPilot is a tool to assist your advertising operations, not a substitute for your business judgment.
- You retain ultimate responsibility for all advertising decisions, including those executed automatically by the Service.
- Past performance does not guarantee future results.
6. User Obligations
You agree to:
- Use the Service only for lawful purposes and in accordance with these Terms.
- Comply with all applicable Amazon Advertising policies and terms of service.
- Not attempt to reverse engineer, decompile, or disassemble the Service or its AI models.
- Not use the Service to manipulate advertising systems or engage in fraudulent activities.
- Not share your account credentials with unauthorized individuals.
- Not use automated tools to access the Service outside of the provided APIs.
- Maintain accurate cost model data to the best of your knowledge.
7. Intellectual Property
7.1 AdPilot's Intellectual Property
The Service, including its AI models, algorithms, software, user interface, and documentation, is owned by AdPilot and protected by intellectual property laws. You may not:
- Copy, modify, or distribute any part of the Service.
- Use AdPilot's trademarks, logos, or branding without prior written consent.
- Remove, alter, or obscure any proprietary notices on the Service.
7.2 Your Data
You retain all rights to your advertising data, campaign configurations, cost model data, and business information. AdPilot processes this data solely to provide the Service as described in these Terms and our Privacy Policy.
7.3 Aggregated and Anonymized Data
AdPilot may use aggregated, anonymized data derived from the Service to improve its AI models, generate industry benchmarks, and develop new features. This data will not identify you or your specific advertising campaigns.
8. Payment and Subscription
8.1 Subscription Plans
AdPilot offers subscription plans as described on our website. Plan features, pricing, and billing cycles are subject to change with 30 days' notice.
8.2 Billing
- Subscription fees are billed in advance on a monthly or annual basis.
- Payment is due at the beginning of each billing cycle.
- We reserve the right to suspend access if payment is not received within 15 days of the due date.
8.3 Free Trial
If offered, free trials are limited to one per organization. Trial periods and feature limitations are specified at the time of signup. We reserve the right to modify or discontinue free trial offerings at any time.
8.4 Refunds
Subscription fees are non-refundable except as required by applicable law or as described in our refund policy. We may provide refunds on a case-by-case basis at our sole discretion.
9. Service Availability and Support
9.1 Availability
We strive to provide the Service with high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice when possible).
- Amazon Advertising API outages or rate limiting.
- Force majeure events.
9.2 Support
We provide support via email at support@adpilot.ai. Response times depend on your subscription plan. We do not guarantee resolution of all issues.
10. Limitation of Liability
10.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- AdPilot shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- AdPilot's total liability for any claim arising from these Terms shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
- AdPilot shall not be liable for any loss of advertising spend, revenue, or profit resulting from AI-generated recommendations or actions.
10.3 Indemnification
You agree to indemnify and hold harmless AdPilot and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Service in violation of these Terms.
- Your violation of any applicable law or third-party right.
- Any content or data you provide to the Service.
11. Termination
11.1 Termination by You
You may terminate your account at any time by contacting us or through your account settings. Upon termination:
- Your Amazon Ads authorization will be revoked.
- AI托管 will be disabled for all campaigns.
- Your data will be retained for 30 days, then permanently deleted.
- No further subscription fees will be charged after the current billing period.
11.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms.
- Your account is inactive for more than 12 consecutive months.
- We discontinue the Service (with 60 days' notice).
- Required by law or legal process.
We will provide notice via email when possible, except in cases of urgent security or legal concerns.
12. Modifications to Terms
We may modify these Terms from time to time. We will notify you of material changes by:
- Posting the updated Terms on our website with a revised "Last Updated" date.
- Sending an email notification for significant changes.
Changes become effective 30 days after notification. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you disagree with the changes, you must stop using the Service and terminate your account.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Wilmington, Delaware.
You waive any right to participate in a class action lawsuit or class-wide arbitration.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and AdPilot regarding the Service.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
14.3 Waiver
Failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
14.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.
14.5 Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
